- [F1]In connection with the acquisition of a pro-rata share of substantially all of the operating assets and liabilities of the existing soap business of the registrant and $75,000, the reporting person, concurrently with the other two then directors of the registrant, (i) tendered to the registrant for cancellation 3,268,000 shares of common stock then owned by him, (ii) assumed all of the liabilities and obligations associated with the soap business, and (iii) agreed to defend and indemnify the registrant with respect to any claims related thereto. In addition to the above, the reporting person sold an additional 200,000 shares of his common stock then owned for gross proceeds of $5,000.
