- [F1]On December 14, 2005, the Robert Walker Life Insurance Trust, of which Mr. Walker is a trustee, sold 5,000 shares of common stock of Walker Financial Corp. in a private sale. These shares are owned of record by the Robert Walker Life Insurance Trust and indirectly by the reporting person as a trustee of this trust. The reporting person is the beneficiary of 450,000 shares owned by this trust and is the brother of the beneficiary of the remaining shares owned by this trust. The reporting person disclaims any beneficial ownership to the shares owned by this trust other than the 450,000 shares for which he is the beneficiary under this trust. The shares subject to the transactions set forth on this Form 4 were sold by this trust for the benefit of the brother of the reporting person.
