Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(d) On January 13, 2006, the Board of Directors of the Registrant increased the number of directors from six to seven, and appointed David Swirnow as a director to fill the vacancy, effective immediately. Mr. Swirnow will be appointed to the Audit Committee of the Board of Directors. There are no arrangements or understandings between Mr. Swirnow and any other person pursuant to which he has been selected as a director.
