- [F1]In accordance with a unanimous vote of the Board of Winmax Trading Group, Inc. ("the Company"), on March 6, 2006 the Company issued 2,500,000 shares of its restricted common stock to its President/Director, Gerald Sklar, in full satisfaction of debt in the amount of $525,000 that the Company owed to Mr. Sklar as a result of ongoing interest free shareholder loans provided by Mr. Sklar to the Company between June 2005 and December 2005. At March 6, 2006, upon satisfaction of the $525,000 loan amount, the Company owed Mr. Sklar $1,546,087.
