Item 1.01 Entry into a Materially Definitive Agreement

Amendment to Mortgage Loan Purchase Agreement

On October 30, 2006, a certain pool of mortgage loans (the “Mortgage Loans”) was sold by DB Structured Products, Inc. (the “Seller”) to ACE Securities Corp. (the “Purchaser”) pursuant to a Mortgage Loan Purchase Agreement, dated as of October 30, 2006 (the “Agreement”), by and between the Purchaser and the Seller, which Agreement was included in an exhibit attached to a Form 8-K filed with the United States Securities & Exchange Commission on November 16, 2006. The Purchaser and the Seller entered into Amendment Number One to the Agreement (the “Amendment”), dated as of December 19, 2006, attached hereto as Exhibit 4.1. The Amendment reflects the addition of certain representations and warranties to the Agreement.
