ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On February 15, 2007, Murray Williams resigned as the Chief Financial Officer, Treasurer and Secretary of Interactive Television Networks, Inc. (the “Registrant”), effective immediately. Charles Prast, the Chief Executive Officer of the Registrant has assumed the positions of interim Chief Financial Officer and Secretary until a replacement for Mr. Williams is appointed. Mr. Williams has agreed to continue to provide the Registrant with financial related services on a consulting basis.

On February 15, 2007, Murray Williams also resigned as a director of the Registrant, effective immediately. Mr. Williams did not hold any positions on any committees of the Board of Directors at the time of his resignation.
