Item 7.01 - Regulation FD Disclosure.

On May 10, 2007, SpatiaLight, Inc (the “Company”) held an earnings conference call during which David F. Hakala, the Company’s Chairman and Acting Chief Executive Officer and Kathleen Mack, the Company’s Director of Accounting and Finance, discussed the Company’s financial results for the quarter ended March 31, 2007 and provided an update on the Company’s recent financing and operations. A copy of the prepared remarks of Dr. Hakala and Ms. Mack is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
