Resignation of Principal Officer

On June 1, 2007 Doug Cox, the Registrant’s Chief Executive Officer, resigned his position as an officer of the Registrant. He remains a director and is Chairman of the Board of Directors.

(c) The directors do not anticipate appointing a replacement chief executive officer. The duties of chief executive officer are assumed by the Registrant’s president, J. Don Jordan. Mr. Jordan is also the Registrant’s chief financial officer and a director. Information on Mr. Jordan - his business background, his executive compensation and his securities holdings of the Registrant - are incorporated herein by reference to Items 9, 10 and 11 of the Registrant’s Form 10-KSB filed at the Commission for the fiscal year period ended December 31, 2006 (Commission File No. 333-48659).
