- [F1]As of January 26, 2006, the Reporting Person had funded a $100,000 Bridge Loan to the issuer, AskMeNow, Inc. (formerly, Ocean West Holding Corporation). The Bridge Loan is evidenced by a 10% subordinated promissory note due 60 days from the date of issuance. An aggregate of 10,000 warrants were issued to the Reporting Person. This is evidenced by a 10% subordinated promissory note dated January 26, 2006, and as accepted and agreed to on the signature page of the Warrant, extended and now due and payable upon the completion by the Company of the next round of permanent equity funding. The Warrant to purchase 452,164 shares of common stock is being issued on the basis of four (4) warrants for every $1.00 principal amount, plus $13,041 of accrued interest on May 17, 2007. The warrants are exercisable through June 30, 2012 at $.50 per share.
