Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 5, 2007, IGIA, Inc. (the “Company”) accepted the resignation of Mr. Kurt Streams as Chief Financial Officer and Assistant Secretary of the Company. Mr. Prem Ramchandani, the Company’s President, will act as interim Chief Financial Officer until a permanent successor is found.
