ITEM 8.01 Other Events

On ~~June~~ July 13 10, 2007, ~~Cyberkinetics~~the ~~Neurotechnology~~Company ~~Systems,~~submitted ~~Inc.~~an amendment to our Humanitarian Device Exemption (HDE) filing on the ~~“Company”)~~Andara™ ~~held~~OFS™ ~~its~~Therapy. This amendment is in response to a ~~Annual~~ letter ~~Meeting~~we received from the FDA in May of ~~Stockholders~~2007 atinforming ~~the~~us ~~Holiday~~that ~~Inn,~~it 31had completed ~~Hampshire~~an ~~Street,~~initial scientific review of our application and indicating that ~~Mansfield,~~ it required ~~Massachusetts~~additional information to determine if the device meets the statutory criteria for approval. The ~~meeting~~FDA ~~was~~letter ~~held~~requested ~~pursuant~~extensive toadditional ~~the~~data ~~Company's~~in ~~notice~~ a number of ~~meeting~~areas, ~~and~~namely, ~~proxy~~additional ~~statement~~clinical ~~that~~data ~~was~~demonstrating ~~filed~~that ~~with~~the use of the ~~Securities~~Andara™ OFS™ device results in a clinically significant benefit or functional improvement in patients that is superior to surgery and ~~Exchange~~medication ~~Commission~~ alone, onstudy ~~May~~analysis, 1biocompatibility, ~~2007~~sterilization, animal data, device description, testing, and ~~sent~~labeling. All of these areas need to ~~stockholders~~be onsatisfactorily addressed orbefore ~~about~~the ~~May~~FDA ~~10,~~can ~~2007.~~complete its review of the application.

AtOur amendment included additional clinical data from the phase Ia trial, detailed ~~meeting~~ statistical comparisons of this data to the placebo group of a larger clinical trial of spinal cord injury that has a similar design, several new analyses requested by the ~~stockholders~~FDA, ~~entitled~~as well as detailed answers to ~~vote~~specific ~~approved~~questions raised. The FDA will have at least 75 days to review the ~~following~~amended ~~resolutions:~~ application after it is received. Although we believe that we have provided the FDA with the information requested, we cannot provide any assurance that (i) our response will be satisfactory to the FDA or that we will not have to conduct additional significant, lengthy and expensive clinical trials before the FDA would grant its approval to market the Andara™ OFS™ System, or (ii) the FDA will ever grant such approval.

(2) To amend the 2002 Equity Incentive Plan to increase the number of shares available for grant thereunder from 4,400,000 to 5,400,000.

(3) To ratify the appointment of Vitale Caturano & Company, Ltd. as the Company’s independent registered public accounting firm for the fiscal year ended December 31, 2007.

Final vote tallies will be included in the Company’s next Quarterly Report on Form 10-QSB.
