Item 5.02. Departure of Directors or Principal Officers: Election of Directors; Appointment of Principal

Board Member Robert C. Munro resigned as a Director of SpatiaLight effective August 10, 2007. Mr. Munro’s decision to resign from the Board was not the result of any disagreements with SpatiaLight over operations, policies or practices, but rather due to personal health concerns.

SpatiaLight will immediately seek to find a replacement for Mr. Munro to provide an adequate number of independent Directors.
