- [F1]On August 22, 2006, Investcol Limited acquired 4,200,000 shares of the Issuer's common stock and received $200,000 from the Issuer in exchange for an additional twenty-five percent (25%) of the issued and outstanding stock of RNC (Colombia) Limited, a Belize corporation ("RNC") and wholly owned subsidiary of Investcol Limited. In connection with this transaction, RNC also received a commitment from the Issuer to provide a $5,000,000 non-interest bearing demand loan in full no later than December 31, 2006 and a commitment to provide sufficient funds in order to complete a feasibility study.
- [F2]On September 26, 2006, Investcol Limited deposited 900,000 shares of the Issuer's common stock into a trust for the benefit of a Colombian consultant who, in the past, provided in-country services.
- [F3]On December 14, 2006, Investcol Limited acquired 4,000,000 shares of the Issuer's common stock in exchange for the Issuer's acquisition of fifteen percent (15%) of the issued and outstanding stock of RNC.
- [F4]On August 24, 2007, Investcol Limited agreed, subject to regulatory approval, to transfer 100 shares of the common stock of RNC, constituting 10% of the issued and outstanding shares of common stock of RNC, to the Issuer in exchange for 3,000,000 shares of the Issuer's common stock and a payment of $300,000. On September 12, 2007, regulatory approval was obtained. The last reported sale price quoted by the OTC Bulletin Board was $1.47 on August 24, 2007 and $1.41 on September 12, 2007.
- [F5]On August 24, 2007, Investcol Limited agreed to transfer 50,000 shares of the Issuer's common stock to the shareholders of RNC (Frontino) Limited in exchange for 329,194 shares of the common stock of RNC (Frontino) Limited, subject to the approval of the transaction discussed under (4). The last reported sale price quoted by the OTC Bulletin Board was $1.47 on August 24, 2007 and $1.41 on September 12, 2007.
