Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 14, 2007, the Board of Directors of Turnaround Partners, Inc., a Nevada corporation (the “Company”) unanimously resolved to change the Company’s fiscal year end from December 31 to September 30 in light of the recent change of control of the Company as set forth in the Company’s Current Report on Amendment No. 1 to Form 8-K as filed with the U.S. Securities and Exchange Commission on December 5, 2007. The Company anticipates it will file its Annual Report on Form 10-KSB.
