Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 12, 2008, John E. Celentano, age 48, was named a director of ImClone Systems Incorporated (the “Company”). Mr. Celentano is a Senior Vice President, Strategy and Productivity Transformation at Bristol-Myers Squibb Company (“BMS”), and has served in such capacity since March 2008. Prior to his current position, Mr. Celentano served in a number of positions at BMS, including President, Health Care Group from December 2005 to February 2008 and as President, Canada and Latin America from April 2002 to November 2005. Mr. Celentano was appointed a director pursuant to the Stockholders Agreement between the Company and BMS dated as of September 19, 2001.
