The information under Item 1.01 in the Current Report on Form 8-K filed by Berman Center, Inc. (the “Company”) with the Securities and Exchange Commission on December 17, 2007 is incorporated herein by reference.

On June 18, 2008, the Company received notice from Hunter Fund that it has not received payment due under the Secured Promissory Note, dated March 7, 2007, as amended on each of May 24, 2007, July 9, 2007, August 16, 2007, and November 27, 2007, and that an Event of Default (as defined in the Secured Promissory Note) has occurred as of May 1, 2008.
