ITEM 8.01. OTHER EVENTS.

On September 26, 2008, ProLink Holdings Corp. (the “Company”) issued a press release announcing that ProLink Solutions, LLC, the Company’s wholly-owned subsidiary (“ProLink”), had signed an agreement (the “Agreement”) with National Advertising Partners (“NAP”), the Fox-owned sales unit that represents sports networks across the country, pursuant to which NAP has agreed to represent and sell a variety of ProLink's GPS media inventory, with a focus on integrated advertising campaigns. The press release stated that the Company expects to begin recognizing revenue under the Agreement beginning in the first quarter of 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
