Other Events.

The Company has received notice of the resignations of two of its directors, Guy W. Numann and Ying Zhi Gu, effective January 1, 2009. Mr. Numann and Ms. Gu were both independent directors and the members of the audit committee. The Company has no other independent directors. No executive officer of the Company is aware of any disagreement between the Company and Mr. Numann or Ms. Gu on any matter relating to the Company’s operations, policies or practices.
