- [F1]Pursuant to an Incentive Option Agreement by and between the Reporting Person and Redsky Group Limited, a British Virgin Islands company, entered into on October 19, 2007, the Reporting Person exercised his options to purchase 1,500 ordinary shares of Redsky Group Limited for a total aggregate consideration of $1,500 and then became the sole member of Redsky Group Limited. As a result of this transaction, the Reporting Person indirectly acquired beneficiary ownership of the 22,454,545 shares of Common Stock of the Registrant which are owned by Redsky Group Limited. Of the 22,454,545 shares of Common Stock beneficially owned by the Reporting Person, 2,465,753 shares were deposited into escrow pursuant to the terms of Share Escrow Agreement dated as of October 14, 2008, a copy of which is filed as Exhibit 10.3 to the Company's Current Report on Form 8-K filed with the SEC on October 20, 2008.
