- [F1]On October 11, 2005, The Sagemark Companies Ltd (the "Company") issued an option to purchase 45,000 shares of its common stock to the Reporting Person with an exercise price of $1.60 per share and an expiration date of October 10, 2010. On April 5, 2007, the Company issued an option to purchase 75,000 shares of its common stock to the Reporting Person with an exercise price of $0.76 per share and an expiration date of April 4, 2012. On November 4, 2008, the Company combined the two options into one, extended the exercise term of such options to November 3, 2013 and reduced the exercise price to $.02 per share, the fair market value on the date of the modification.
