TERMINATION OF A MATERIAL AGREEMENT

On February 27, 2009 we received written notice from Prime Natural Resources Inc. (“Prime”) that it was terminating the June 30, 2008 Consulting Agreement between us and Prime (the “Consulting Agreement”) effective March 31, 2009. Under the Consulting Agreement, Prime provides us with bookkeeping, accounting, financial reporting and related services. Prime’s determination to terminate the Consulting Agreement was not the result of any disagreements between us and Prime on any matter of accounting principles or practices or financial statement disclosure.
