Item 3.02.

Unregistered Sales of Equity Securities.

On March 11, 2009, the Company issued 23,688,590 shares of its common stock, par value $.001 per share (“Common Stock”) to four holders of its Variable Rate Self-Liquidating Senior Secured Convertible Debentures due April 19, 2009 and September 1, 2009 (the “Debentures”). These shares of Common Stock were issued pursuant to the pre-redemption provisions of the Debentures and pursuant to separate redemption agreements.

On March 11, 2009, the Company issued 20,000 shares of Common Stock to an employee for services rendered.
