Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 26, 2009, the Compensation Committee of the Board of Directors of the Company approved an arrangement to pay David Ambrose, in his capacity as the Company’s interim President and Chief Executive Officer, an annual salary of $250,000, effective April 1, 2009. Mr. Ambrose has agreed to devote substantially all of his time to Company matters.
