- [F1]On March 1, 2009, the reporting person received 4,310 shares of the Issuer's common stock (the "Shares") pursuant to an Interest Deferral Agreement (the "Agreement") by and between the reporting person and the Issuer. The Agreement deferred the $15,000 interest payment due to the reporting person under the Issuer's 12% Unsecured Convertible Promissory Note (the "Note") in exchange for a deferral fee of $2,500 (the "Deferral Fee"). The Deferral Fee was equal to 1% of the $250,000 outstanding on the Note and was paid to the reporting person as follows: (i) fifty percent (50%) was paid in a cash payment of $1,250 and (ii) fifty percent (50%) was paid in the 4,310 Shares, valued at $0.29, reported hereunder.
