Item 8.01 Other Events

Uniprop Manufactured Housing Communities Income Fund (the “Fund”) has ~~entered~~closed ~~into~~on athe sale ~~Forbearance~~of ~~Agreement with~~ its ~~first~~Aztec ~~mortgage~~Estates ~~lender~~property. The ~~Agreement calls~~sale ~~for~~price ~~interest~~was ~~payments~~sufficient to retire bethe ~~deferred~~Fund’s ~~for~~first amortgage ~~six~~debt ~~month period. During~~as ~~this~~well ~~time,~~as ~~the~~to ~~Fund~~repay ~~will~~obligations ~~attempt~~ to ~~close on the sale~~both ofNational ~~Aztec~~City ~~Estates~~Bank as(now ~~disclosed~~PNC inBank) ~~Form~~and ~~8-K~~the ~~dated~~National ~~April~~City ~~2, 2009~~loan guarantor. ~~Aztec Estates~~As ~~is presently under contract for sale at~~ a ~~price~~result ~~that~~of ~~will~~paying beoff ~~sufficient to fully repay~~ the first mortgage~~. If~~ ~~the~~debt, ~~Fund is unsuccessful in~~the ~~selling~~former ~~Aztec~~Forbearance ~~Estates~~Agreement orautomatically ~~otherwise~~terminates ~~defaults~~as onthere ~~the~~is ~~Agreement,~~no ~~the~~longer ~~lender will~~a ~~have~~default. The ~~the~~Fund ~~ability~~retains toownership ~~record~~of ~~deeds on both Aztec Estates and~~ Old Dutch Farms ~~that will~~with ~~transfer~~no ~~ownership of the two properties to the lender~~debt obligation.

The Old ~~default~~Dutch onFarms ~~the~~property ~~National~~is ~~City~~also ~~loan~~under ~~has~~contract ~~been~~for ~~cured~~sale. The bybuyer is currently in its due diligence period so it remains uncertain if this transaction will close. Should the ~~loan~~sale close, the Fund intends to ~~Guarantor~~wind-up its affairs and terminate.

The Consulting Agreement with the Fund’s Consultant was terminated by the Consultant.
