- [F1]Mr. Hou Tie Xin entered into a Call Option Agreement with Golden Wind Holdings Limited ("Golden Wind") on September 30, 2009 (the "Agreement"). Pursuant to the Agreement, Mr. Hou Tie Xin acquired voting control to 17,765,757 shares of GC China Turbine Corp.'s ("GC China") common stock owned by Golden Wind following the closing of a certain share exchange agreement between GC China and Luckcharm Holdings Limited. In addition, Mr. Hou Tie Xin acquired an option to purchase the above 17,765,757 shares of GC China common stock from Golden Wind at an exercise price equal to $0.0001 per share. The option is exercisable upon the occurrence of certain events as set forth in the Agreement.
