- [F1]In accordance with the terms of a Convertible Loan Agreement dated February 6, 2009 between Mr. Guseinov and a lender, the lender had the right to convert the loan, or any part of it, into shares of common stock held by Mr. Guseinov, at a conversion price of $1.14 per share. Shares transferred to the lender upon conversion of the loan are restricted securities. The original loan amount was $250,000. The transfer reported herein satisfies the balance of the loan obligation in full and there shall be no further transfers of shares under the Convertible Loan Agreement. A copy of the Convertible Loan Agreement was attached as exhibit (d)(9) to the Company's Schedule TO which was filed with the Securities and Exchange Commission on June 29, 2009.
