The shares of common stock vest according to the following schedule: (i) 15,000 shares on December 31, 2010 and (ii) 20,000 shares on December 31, 2011, each so long as Mr. Chang remains employed by the issuer at each such date. Pursuant to the restricted stock award agreement between Mr. Chang and the issuer, Mr. Chang has the voting and dividend rights of a stockholder of common stock of the issuer with respect to the restricted shares; provided, however, that dividends paid in shares of common stock shall be deposited with and held in escrow by the issuer, together with a stock power endorsed in blank or other appropriate instrument of transfer, and shall be subject to the same restrictions and forfeiture provisions as the restricted shares.
