- [F1]On December 31, 2009, Laidlaw Venture Partners III, LLC ("Laidlaw Venture") entered into a unit purchase agreement (the "Purchase Agreement") with Bonds.com Group, Inc. ("Bonds"). Pursuant to the Purchase Agreement, on January 13, 2010, Bonds issued to Laidlaw Venture (i) 1,840,230 shares of Common Stock and (ii) rights to acquire an additional 3,680,460 shares of Bonds common stock for an aggregate purchase price of $690,000.
- [F2]As of January 13, 2010, the reporting person was the manager of Laidlaw Venture. The reporting person specifically disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein. On January 15, 2010, the reporting person resigned as the manager of Laidlaw Venture and has no beneficial ownership or pecuniary interest in any of the securities that are held by Laidlaw Venture.
