Item 8.01 Other Events

Uniprop Manufactured Housing Communities Income Fund (the “Fund”) has closed on the sale of its ~~Aztec~~Old ~~Estates~~Dutch Farms property~~. The~~ ~~sale~~with ~~price~~net ~~was~~proceeds ~~sufficient~~of to$2.1 ~~retire~~million. This ~~the~~property ~~Fund’s~~was ~~first~~the ~~mortgage~~last ~~debt~~of asthe ~~well~~properties asowned toby ~~repay obligations to both~~the ~~National~~Fund. While ~~City~~the ~~Bank~~Fund ~~(now~~has ~~PNC~~no ~~Bank)~~remaining ~~and~~debt, ~~the~~it ~~National~~does ~~City~~have ~~loan~~an ~~guarantor. As~~obligation ato ~~result~~pay ofto ~~paying~~the ~~off~~General Partner the ~~first~~Contingent ~~mortgage~~Purchase ~~debt,~~price ~~the~~of ~~former~~$1,160,000 ~~Forbearance~~and ~~Agreement~~a ~~automatically~~disposition ~~terminates~~fee asof ~~there~~3% isof nothe ~~longer~~Gross ~~a default. The~~Sales ~~Fund~~Price ~~retains~~of ~~ownership~~Aztec ofEstates and Old Dutch Farms ~~with~~which nowere ~~debt~~$15.75 million and $2.2 million, ~~obligation~~respectively.

The ~~Old~~Fund ~~Dutch~~also ~~Farms~~successfully ~~property~~appealed isthe ~~also~~prior ~~under~~three ~~contract~~years ~~for~~of ~~sale~~tax assessments on Old Dutch Farms. ~~The~~This ~~buyer~~refund ~~is currently~~will occur in ~~its~~the ~~due~~next ~~diligence~~few ~~period~~months soand itis ~~remains~~estimated to ~~uncertain~~be if$150,000 ~~this transaction~~net ~~will~~of ~~close~~costs. ~~Should~~A ~~the~~tax ~~sale~~appeal ~~close,~~for ~~the~~Aztec ~~Fund~~Estates ~~intends to~~remains ~~wind-up~~in ~~its affairs and terminate~~process.

Once the remaining business activities are completed, the Fund intends to wind-up its affairs, make a final distribution, file its final tax return in 2010 and dissolve.
