Item 5.02 Departure of Directors or Principal Officers.

On May 7, 2010, Mr. Laurent Megret, the Chief Operating Officer and Director of the Board of Directors of Eatware Inc. (the “Company”) resigned and thereby terminated his service as Chief Operating Officer and Director of the Board. There was no disagreement or dispute between Mr. Laurent Megret and the Company which led to his resignation.
