On July 19, 2010, Pure Earth, Inc. (the “Company”) issued a press release regarding the Company’s plan to voluntary deregister its common stock and terminate its SEC reporting obligations under the Securities Exchange Act of 1934, as amended. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
