Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On August 31, 2010, the Company received a letter from Steve Newland, Chief Operating Officer of Geos Communications, Inc., a Washington corporation (the “Company”), which stated that Mr. Newland voluntarily resigned his officer position and employment with the Company effective August 31, 2010. Mr. Newland’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On August 26, 2010, the Company filed Articles of Correction (the “Articles of Correction”) to the Certificate of Designations of Rights and Preferences of Preferred Stock Series I (the “Certificate of Designations”). The corrected statement of the Certificate of Designations amended the number of authorized shares of Preferred Stock Series I from 8,000 shares to 15,000 shares. The Articles of Correction, as filed with the Washington Secretary of State, are attached hereto as Exhibit 3.1 and incorporated herein by reference.
