- [F1]On October 13, 2010, the reporting person made the following transfers of his beneficially-owned shares of the Issuer's common stock in a private transaction intended to be exempt from registration under the Securities Act of 1933, as amended: (i) 7,222,290 shares to Mr. Gao Zhentao, the chief executive officer of the Issuer, as consideration for Mr. Gao Zhentao's commitment to manage the Issuer's business operations and achievement of the financial targets as set forth in a Make Good Agreement dated March 12, 2008; and (ii) an aggregate of 432,527 shares to ten other individuals. As a result of these transfers, the reporting person is no longer the beneficial owner of any shares of the Issuer's common stock.
