Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On October 29, 2010, Geos Communications, Inc., a Washington corporation (the “Company”), received a letter from Richard Roberson, Chief Financial Officer of the Company, which stated that Mr. Roberson voluntarily resigned his officer position and employment with the Company effective October 31, 2010. Mr. Roberson’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
