- [F1]In accordance with the employment agreement entered into by and between the Reporting Person and the Issuer on March 18, 2011, as approved by the Board of Directors, the Reporting Person was granted 90,000 restricted shares of common stock of the Issuer on March 18, 2011 under the Issuer's 2010 Omnibus Incentive Plan (the "Stock Award") upon the effective date of March 18, 2011. 7,500 of the shares of the Stock Award shall vest over a three-year period on each of the twelve quarterly anniversaries of the effective date.
