On ~~September~~June 927, ~~2010~~2011, China Infrastructure Investment Corporation’s (the “Company”) ~~received~~Board aof ~~letter from~~Directors ~~The NASDAQ Stock Market LLC~~ (the “~~NASDAQ~~Board”) ~~advising~~accepted ~~that~~Mr. ~~for~~Chunxian ~~the~~Zhang’s ~~previous~~resignation ~~30 consecutive~~from ~~business~~his ~~days,~~current ~~the~~position ~~closing~~as ~~bid~~Chief ~~price~~Financial Officer of the Company~~’s common stock was below the minimum $1~~.00 Mr. ~~per~~Zhang ~~share~~will ~~requirement~~continue ~~for continued listing on NASDAQ Capital Market pursuant~~ to ~~NASDAQ~~serve ~~Marketplace Rule 5550(a)(2). This notification has no effect on~~ the ~~listing of the~~ Company’s ~~common~~as ~~stock~~an atExecutive ~~this time~~Director.

~~NASDAQ~~On ~~stated~~June ~~in its letter that in accordance with NASDAQ Marketplace Rule 5810(c)(3)(A)~~27, ~~the company will be provided 180 calendar days, or until March 8,~~ 2011, ~~to regain compliance with~~ the ~~minimum~~Board ~~bid~~appointed ~~price~~Lei ~~requirement. The~~Li ~~NASDAQ~~as ~~letter also states that if, at any time before March 8, 2011,~~ the ~~bid price of the~~ Company’s ~~common~~ ~~stock~~Chief ~~closes~~Financial ~~at $1~~Officer.00 per share or more for a minimum of 10 consecutive business days, the NASDAQ staff will provide the Company with written notification that is has achieved compliance with the minimum bid price requirement.

IfPrior to joining the Company, ~~does~~Mr. ~~not regain~~Li ~~compliance~~served ~~with~~as Chief Executive Officer of Beijing Sino-US Great Wall Investment Company Ltd. From August 2005 through September 2010, he served as the ~~minimum~~General ~~bid~~Manager ~~price~~of ~~requirement~~the byTreasury ~~March~~and 8Capital Department at China Everbright Bank. From October 2004 to August 2005, ~~2011~~he worked at General Electric Capital. From March 2002 to October 2004, ~~the NASDAQ~~he ~~staff~~worked ~~will~~at ~~provide~~Federal Home Loan Mortgage Corporation (Freddie Mac) in the ~~Company~~U.S. ~~with~~Mr. ~~written~~Li ~~notification~~worked ~~that~~at Merrill Lynch between November 2000 and March 2002 and worked in the ~~Company~~ Chief Financial Officer’s ~~common~~office ~~stock~~at ~~will~~AT&T bein ~~delisted~~the ~~from~~U.S. ~~the~~between ~~NASDAQ~~July ~~Capital~~1999 ~~Market~~and November 2000. ~~At that~~ ~~time,~~Mr. ~~the~~Li ~~Company~~received ~~may~~his ~~appeal~~Ph.D. degree in Economics from the ~~delisting~~University ~~determination~~of toPittsburgh in 1999. Mr. Li is a ~~NASDAQ Listing~~Certified ~~Qualification~~Financial ~~Panel~~Analyst ~~pursuant~~charter toholder. ~~the~~Mr. ~~applicable~~Li ~~NASDAQ~~has ~~rules~~extensive practical experience in capital market, security trading and risk management.

On June 27, 2011, the Company held an annual meeting of its stockholders (the “Annual Meeting”). There were present at the Annual Meeting, in person or by proxy, holders of 77,310,962 shares of the Company’s common stock, or 96.64% of all shares eligible to vote on the subject proposals.
