- [F1]Performance based option which shall vest as acquisitions are completed by the Company. The vesting for 12,000 of these options shall begin six months after the next acquisition is completed by the Company and such options shall vest on a quarterly basis ratably over two years following the six month anniversary of the acquisition. An additional 12,000 of these options shall begin to vest when the second acquisition is completed by the Company and such options shall vest on the same basis. The same vesting provisions shall apply for a total of six acquisitions. A portion of the grant associated with each acquisition may be forfeited based on how many acquired customers have been retained as of six months following closing the acquisition.
- [F2]Performance based option which shall vest as backhaul contracts are executed by the Company. The vesting for 100,000 of these options shall begin when the first backhaul contract is executed by the Company and such options shall vest on a quarterly basis ratably over two years following the execution of the contract. An additional 17,500 of these options shall begin to vest when the next backhaul contract is executed and such options shall vest on a quarterly basis ratably over two years following the execution of the contract. The same vesting provisions shall apply for a total of five backhaul contracts executed after the initial backhaul contract.
