Change in Executive Compensation

On September 6, 2011, the board of directors of DJSP Enterprises, Inc. (the “Company”) approved an amendment to the compensation paid to Stephen J. Bernstein, the Company’s Chairman, President, and Chief Executive Officer. Effective September 1, 2011, Mr. Bernstein’s compensation will be reduced to $25,000 per month.

Dissolution of Committees

Effective September 1, 2011, the Company’s board of directors has determined to dissolve each of the Audit Committee, the Compensation Committee, and the Governance and Nominating Committee of the board of directors. The Company’s full board of directors will perform the duties previously delegated to these committees.
