On January 27, 2012, Mr. Larry Reisman resigned as a member from Conversion Services International, Inc. (the “Company”) board of directors. Mr. Reisman’s resignation was not the result of a disagreement with the Company.

On January 28, 2012, Mr. Brian Walton resigned as a member from the Company’s board of directors. Mr. Walton’s resignation was not the result of a disagreement with the Company.
