Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with Evergreen Solar, Inc.’s (the “Company”) continuing bankruptcy proceedings and reduced needs for non-management directors, on February 8, 2012, Tom L. Cadwell and Allan H. Cohen resigned from the board of directors (the “Board of Directors”) of the Company. On February 22, 2012, Christian M. Ehrbar, President and Chief Executive Officer of the Company, was elected by the Board of Directors as a director of the Company.
