Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

On March 28, 2012, Ms. Yabin Zhong informed HQ Global Education, Inc. (the “Company”) of her resignation as a member of the board of directors of the Company, effective immediately. Ms. Zhong stated that her resignation was not due to any disagreement with the Company on any matter related to operations, policies or practices.
