~~The~~On ~~information~~June ~~provided~~19, in2012, ~~Item~~Ms. 3Keyi Zhang resigned as the Company’s Chief Financial Officer, due to personal and family reasons.02 ~~below~~The Company approved Ms Zhang’s resignation, iseffective ~~incorporated~~on ~~herein~~June by19, ~~reference~~2012. There was no disagreement between Ms. Zhang and the Company prior to her resignation.

~~Item~~ The 3Company is in the process of seeking a new Chief Financial Officer.02 Mr. ~~Unregistered~~Kunwu ~~Sales~~Li, the Chief Executive Officer of ~~Equity~~the ~~Securities~~Company, has assumes the role of interim Chief Financial Officer over the transition period until the Chief Financial Officer position is filled. The Company believes that Ms. Zhang’s resignation has no material adverse impact on the Company’s business and operation.

On March 12, 2012, China Intelligence Information Systems, Inc. (the “Company”) entered into a Stock Purchase Agreement (the “Agreement”) with Fenghua Fan. Pursuant to the Agreement, the Company sold 4,880,000 shares of common stock at a purchase price of $0.39 per share for at total of $1,903,200. On the closing date of the Agreement, which shall be no later than March 30, 2012, the Company shall delivery 4,880,000 shares of common stock to Fenghua Fan, and Fenghua Fan shall pay $1,903,200 (or RMB equivalent at exchange rate of 1:6.30517), in two installments that the first $951,600 on March 15, 2012 and the second $951,600 on March 22, 2012, to the Company.SIGNATURE
