On July 28, 2011, the appointment of James Randal Hall as a member of the Board of Directors of American Patriot Financial Group, Inc., a Tennessee corporation (the “Company”) was approved by the Company’s regulators. Under Tennessee law, Mr. Hall’s term as a director of the Company will expire at the Company’s next Annual Meeting of Shareholders expected to be held in July 2012 ~~(the “~~Annual ~~Meeting”),~~ ~~and~~Shareholder ~~the Company expects the Board will nominate Mr. Hall for election to the Board at the Annual~~ Meeting ~~in the class of directors with a term to expire at the Company’s Annual Meeting of Shareholders to be held in 2014.~~Date

~~Mr.~~On ~~Hall~~July ~~has~~5, ~~served as~~2012, ~~the Chief Executive Officer and President of the Company and~~ American Patriot ~~Bank~~Financial Group, aInc. ~~wholly-owned subsidiary of the Company~~ (the “~~Bank~~Company”), ~~since~~announced ~~June 2011. Prior to~~ that ~~time,~~its he2012 ~~served~~Annual asMeeting ~~the~~of ~~Bank’s~~Shareholders ~~Senior Vice President – Senior Lender and Chief Credit Officer since August 2010. Before coming to~~ (the ~~Bank, he served as Senior Vice President – Lending,~~“2012 ~~Chief~~Annual ~~Lending~~Meeting”) ~~Officer~~will ~~with~~be ~~Clayton~~held ~~Bank~~on ~~and Trust in Knoxville~~Friday, ~~Tennessee from May 2008 to~~ August ~~2010 and Senior Vice President of Commercial Lending with Citizens Bank in Morristown~~31, ~~Tennessee from December 2001 to May 2008~~2012. The Board believes that Mr. Hall’s extensive banking experience and his experience managing the day to day operations of the Company’s business as the Company’s and the Bank’s Chief Executive Officer provide the Board with knowledge and insight into the Company’s operations and make him a valuable member of the Board.
