- [F2]On July 11, 2007, Mr. Satya Brata Das acquired from the issuer on a private placement basis an aggregate of 240,000 units at a price of $0.60 per unit. Each unit was comprised of one common share and one common share purchase warrant ("Warrant") and another twelve one-hundredths common share purchase warrant ("Special Warrant"). Each Warrant entitled Mr. Das the option to purchase up to 240,000 common shares of the issuer at a price of $0.90 per common share; this Warrant expired on July 11, 2010 unexercised. The Special Warrant entitled Mr. Das the option to purchase up to 28,800 common shares of the issuer at a price of $1.20 for a period of five years from the date of closing. This Special Warrant expired on July 11, 2012 unexercised.

Cambridge Strategies Inc., is a company 50% owned by Mr. Das and 50% owned by his wife. In addition, Mr. Das currently has options to purchase up to 450,000 shares of common stock at an exercise price of $0.14 per common share of which 150,000 vested immediately upon issue and the remaining options will vest one-third on March 23, 2012, and one-third on March 23, 2013.
