All such shares are being disposed of pursuant to a merger agreement among the Issuer, American Realty Capital Properties, Inc. ("ARCP") and Tiger Acquisition LLC in exchange for 8,610 shares of ARCP common stock at an exchange ratio of 0.95 shares of ARCP stock for each share of Issuer stock. At the close of business on February 28, 2013, ARCP stock had a market value of $13.23 per share. The fractional shares based upon the conversion of 9,064 shares at a ratio of 0.95 ARCP shares also resulted in a cash payment of $10.11.
