(the "Company") issued Mr. Grant Barber, a Member of the Company's Board of Directors, 166,856 restricted shares of the Company's common stock (the "Restricted Shares") pursuant to the Company's 2014 Equity Incentive Plan (the "2014 Plan"). The Restricted Shares are subject to the vesting and other provisions applicable to the restricted stock award granted under the 2014 Plan pursuant to which such Restricted Shares were issued to Mr. Barber. A copy of the 2014 Plan was filed as Exhibit 10.56 to the Company's Registration Statement on Form S-8 filed with the U.S. Securities and Exchange Commission (the "SEC") on February 25, 2014 and a copy of the restricted stock award will be filed as an exhibit to the Form 8-K that will be filed by the Company with the SEC describing the 2014 Plan.
