(the "Company"), Full Alliance International Limited, a British Virgin Islands company ("Holdco"), Yongye International Limited, a Cayman Islands exempted company with limited liability wholly-owned by Holdco ("Parent"), and Yongye International Merger Sub Limited, a Nevada corporation wholly-owned by Parent ("Merger Sub"), the merger of Merger Sub with and into the Company (the "Merger"). The Merger became effective on July 3, 2014.
- [F2]In connection with the Merger, the Reporting Person contributed 1,155,000, shares of the Issuer's common stock to Parent immediately prior to the consummation of the Merger pursuant to that certain contribution agreement dated as of September 23, 2013, as amended on November 25, 2013, by and among the Parent, Holdco, the Reporting Person, MSPEA Agricultural Holding Limited, Prosper Sino Development Limited and certain other rollover shareholders.
