- [F1]On July 16, 2014, in accordance with the Agreement and Plan of Merger and Membership Interest Transfer Agreement, dated as of May 27, 2014, by and among the Issuer, PetroLogistics GP LLC, Propylene Holdings LLC, Flint Hill Resources, LLC ("Parent") and FHR Propylene, LLC ("Merger Sub") (the "Merger Agreement"), Merger Sub merged with and into the Issuer (the "Merger"), with the Issuer surviving the Merger as a subsidiary of the Parent. Immediately prior to the consummation of the Merger, the Reporting Person, as the record and beneficial owner of 17,422,701 common units representing limited partnership interests ("Common Units") in the Issuer, distributed all of such 17,422,701 Common Units to its members for no consideration.
- [F2]Upon consummation of the Merger, by virtue of the Merger and without any action on the part of the holders thereof, each of the Common Units distributed by the Reporting Person to its members was cancelled and converted automatically into the right to receive $12.00, upon the terms and subject to the conditions set forth in the Merger Agreement. In addition, in connection with the consummation of the Merger, the members of the Reporting Person received a one-time cash distribution of $0.40 per Common Unit, which distribution was declared and made in accordance with the provisions of the Merger Agreement.
