NOTE 1 - NATURE OF OPERATIONS AND SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

NATURE OF OPERATIONS

Digital Donations Technologies, Inc. (formerly Fishing Ridge Acquisition Corporation) (~~the~~ "~~Company~~DDTI") was incorporated on May 21, 2015 under the laws of the state of Delaware to engage in any lawful corporate undertaking, including, but not limited to, selected mergers and acquisitions. The Company has been in the developmental stage since inception and its operations to date have been limited to issuing shares to its original shareholders, filing a registration statement on Form 10 and effecting a change in control.

OnThe ~~January~~Company 7,intends ~~2016,~~to develop and distribute creative and innovative fund raising technology and provide payment processing solutions connecting charities and foundations with the consumer and corporate America. The Company ~~effected~~anticipates developing fund raising solutions that will expand and enhance the way charities and foundations reach donors. The Company perceives that through the process of integrating a ~~change~~donation request as inpart ~~control~~of bya ~~effecting~~financial transaction, retailers, e-tailers, ATM owners and service providers will have the ~~following~~ability ~~transactions:~~to create new, or enhance existing, cause marketing programs.

~~The Company redeemed an aggregate of 19,500,000 of the then 20,000,000 shares of outstanding common.~~RECAPITALIZATION

~~James~~On MOctober 17, 2016, DDTI entered into a merger with Digital Donations, Inc. ~~Cassidy~~(the ~~resigned~~“Company” asand post-merger, the “Company's” ~~president~~represents the combined entity), which has resulted in the combination of the Company with DDTI through the issuance of 79,084,807 shares of DDTI common ~~secretary~~stock to the shareholders of the Company on a one-for-one basis in exchange for 100% of the then issued and ~~director~~outstanding shares of the Company’s common stock, and ~~James~~at ~~McKillop~~which ~~resigned~~time the Company became a wholly owned subsidiary of DDTI. The Company has accounted for this merger as a recapitalization, as DDTI at the ~~Company's~~time ~~vice~~of ~~president~~the merger was a public shell company, with only nominal assets and no ~~director~~operations of its own. The financial statements presented herein are that of Digital Donations, Inc. from its inception through the date of the merger, at which point the net assets of DDTI were included and the equity section restated to that of the DDTI. From the date of the merger and thereafter, these financial statements represent the financial position and results of operations of the consolidated entity.

OnThe ~~January~~condensed 8consolidated balance sheet as of March 31, 2017 and the condensed consolidated statements of operations and cash flows for the three month periods ended March 31, 2017 and 2016 have been prepared by the Company without audit. The condensed consolidated balance sheet as ~~issued~~of anDecember ~~aggregate~~31, 2016 has been derived from the audited financial statements as of 5that date,~~000~~ but does not include all required year-end disclosures. In the opinion of management,~~000~~ ~~shares~~such statements include all adjustments considered necessary to present fairly the Company’s financial position as of March 31, 2017 and December 31, 2016, and its ~~common~~results ~~stock~~of asoperations and ~~follows:~~cash flows for all periods presented. These condensed consolidated financial statements should be read in conjunction with the consolidated financial statements and the notes thereto included in the Company’s latest Annual Report on Form 10-K for the year ended December 31, 2016.

The accompanying unaudited condensed consolidated financial statements are prepared in accordance with U.S. generally accepted accounting principles (U.S. GAAP) for interim financial information and with the instructions to Form 10-Q and Article 10 of Regulation S-X. Operating results for the three months ended March 31, 2017 are not necessarily indicative of the results that may be expected for the fiscal year ending December 31, 2017.

(“DDI”), which has resulted in the combination of DDI with the Company through the issuance of 79,084,807 shares of Company common stock to the shareholders of DDI on a one-for-one basis in exchange for their shares in DDI. BASIS OF PRESENTATION

The summary of significant accounting policies presented below is designed to assist in understanding the Company's unaudited condensed financial statements. Such unaudited condensed financial statements and accompanying notes are the representations of the Company's management, who are responsible for their integrity and objectivity. These accounting policies conform to accounting principles generally accepted in the United States of America ("GAAP") in all material respects, and have been consistently applied in preparing the accompanying unaudited condensed financial statements.

The accompanying unaudited financial statements have been prepared in accordance with the condensing rules for interim financial information and with the instructions for Form 10-Q and Article 210 8-03 of Regulation S-X. Accordingly, they do not include all of the information and footnotes required by generally accepted accounting principles for complete financial statements. In the opinion of management, all adjustments considered necessary for a fair presentation have been included. All such adjustments are of a normal recurring nature. Operating results for the three and nine months ended September 30, 2016, are not necessarily indicative of the results that may be expected for the fiscal year ending December 31, 2016. For further information, refer to the financial statements and footnotes thereto included in the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2015 as filed with the Securities and Exchange Commission on April 13, 2016.

The Board is issuing this Update as part of its initiative to reduce complexity in accounting standards (the Simplification Initiative). The objective of the Simplification Initiative is to identify, evaluate, and improve areas of generally accepted accounting principles (GAAP) for which cost and complexity can be reduced while maintaining or improving the usefulness of the information provided to users of financial statements. Current GAAP requires an entity to separate deferred income tax liabilities and assets into current and noncurrent amounts in a classified statement of financial position. To simplify the presentation of deferred income taxes, the amendments in this Update require that deferred tax liabilities and assets be classified as noncurrent in a classified statement of financial position. The amendments in this Update apply to all entities that present a classified statement of financial position. The current requirement that deferred tax liabilities and assets of a tax-paying component of an entity be offset and presented as a single amount is not affected by the amendments in this Update. For public business entities, the amendments in this Update are effective for financial statements issued for annual periods beginning after December 15, 2016, and interim periods within those annual periods.
